GSA Board of Directors
The GSA Board consists of twenty-five (24) directors and one Board-elected Chairman.
GSA Semiconductor members have voting privileges and each nominee must be a Semiconductor member in order to run for the Board. Election information is sent to three top executives for voting companies and they are asked to collaborate and cast one vote per company on the candidates in each category that they feel should serve on the board. There is always a runner up in each category. Voting is done via an electronic ballot casting system. Nominations are solicited beginning around October of each year with voting in the January/February timeframe. Board members take their seat at their first March meeting each year where outgoing and incoming members all collaborate.
GSA is governed by its Board of Directors, which holds four (4) meetings per year. The Board of Directors sets the organization’s general direction, decides matters of overall policy and takes responsibility for activities undertaken in GSA’s name. The Board of Directors must be committed to GSA’s goals and principles and are expected to contribute to the well being of the organization.
- Hold an executive position at a fabless or IDM member company. Past Board members include VPs, COOs and CEOs.
- Be an employee of a GSA member company, which maintains a current payment status on membership dues.
- Carry out the full term allotted for their elected director position (Board members are eligible to be re-elected at the end of the term).
- Semiconductor Directors are tied to the individual. If a Board member changes companies and goes to another Semiconductor company they will retain their director position. If a Board member is unable to retain his/her director position, GSA maintains the right to suggest and/or appoint another representative to fill the position.
- Responsiveness to e-mails or calls from GSA staff.
- Participate and/or lead a committee and/or subcommittee.
- Designate one individual from your company to participate on GSA’s Technology Committee.
- Attendance and/or company attendance at GSA activities/events. Board members are encouraged to attend as many events as possible within the year.
- Speaking engagements as requested by GSA staff.
- Support solicitation of new members and retention of existing members through individual activities or those requested by GSA staff.
- Serve as an ambassador for GSA.
- Volunteer to host a GSA Board of Directors Meeting.
- Attend the four (4) scheduled Board meetings throughout the year and be responsible for the travel expenses associated with them
- Hold a C-level position at a member company.
- Be an employee of a GSA member company, which maintains semiconductor member status and a current payment status on membership dues.
- Carry out the full term allotted for their elected director position (Board members are eligible to be re-elected at the end of the term).
- All non-fabless directors are tied to the company. If a Board member changes companies or is otherwise, unable to retain his/her director position, GSA’s Board maintains the right to suggest and/or appoint another representative within the same company to fill the position.
- GSA’s Board of Directors maintains the right, at any time, to reverse the decision to allocate Non-fabless company Board directors by a majority vote.
- Responsiveness to e-mails or calls from GSA staff.
- Participate and/or lead a committee and/or subcommittee.
- Designate one individual from your company to participate on GSA’s Business and Technology Oversight Committee or GSA Interest Group.
- Attendance and/or company attendance at GSA activities/events. Board members are encouraged to attend as many events as possible within the year.

- Support solicitation of new members and retention of existing members through individual activities or those requested by GSA staff.
- Serve as an ambassador for GSA.

Any individual qualified and listed on the final ballot for GSA’s Board of Directors elections is free to campaign to win their director position on the Board. Please note that GSA is unable to assist in any way with any campaigning. A listing of GSA Semiconductor (voting) members is included on the GSA Web site at www.gsaglobal.org (under the Semiconductor membership category). Campaigning in such a manner that does not follow appropriate business protocol may be cause for elimination from the election. GSA’s Board of Directors maintains the right to eliminate any candidate based on unethical or inappropriate campaign tactics.
